Excerpt: ...whose ad ministration it shall '"""=-happen, shall be liable for the excess in their private capacities; any condition, release or agreement to the contrary notwithstanding; and an action of debt may in such case he brought against them, or any of them, or the heirs, executors or administrators of them, by any creditor of such corporation, and maybe prosecuted to final judgment and execution; or such creditor may have a bill in equity against them in the supreme judicial court. SECT. Q9. Any director, who may have been ab fug '; 1ef; fisent, when such excess of debts was contracted, or who may have at the time dissented from the resolution or act, whereby the same was contracted, may exonerate himself from being so liable, by forthwith giving notice of the fact, and of his absence or dissent, to the Governor and Council, and to the stockholders at any general meeting; which meeting he shall have power to call for that purpose..
